You remain responsible for authorized amounts owed, subject to applicable law and any separate written payment agreement.
5.5 Chargebacks and Payment Disputes
You agree to contact us first to attempt to resolve a legitimate billing question or dispute before initiating a chargeback.
You may not use a chargeback to avoid payment for services received, materials accessed, or an installment obligation that you authorized. This does not limit your right to dispute an unauthorized or fraudulent charge or to exercise rights provided by law.

- A different start date for the same program; and/or
- A future Blueprint to Sovereignty program.
Any credit, if offered, may be subject to conditions we specify (including expiration dates, availability, and administrative requirements). Nothing in these Terms creates any right to a refund, transfer, or credit.
6.3 Company Cancellation or Rescheduling
We may reschedule, modify, suspend, or cancel a service, session, cohort, workshop, or community offering because of facilitator availability, enrollment levels, technology issues, illness, emergency, force majeure, or other circumstances.
If we cancel a paid service and do not provide a reasonable replacement, we may, in our discretion, issue a credit, reschedule, or provide another reasonable remedy. Any remedy will be provided subject to applicable law and any nonwaivable statutory rights.

- Delivery format;
- Platforms;
- Community features;

You may not use a group setting to provide medical, psychological, legal, financial, or other professional advice to another participant.
We may remove, suspend, or restrict a participant who violates these Terms or whose conduct harms the safety, privacy, integrity, or functioning of the group. Where warranted, removal may occur without a refund, subject to applicable law and the applicable enrollment agreement.
10. Confidentiality and Privacy
10.1 Participant Confidentiality Obligations
In group programs and communities, participants may share personal, professional, or sensitive information. You agree to keep confidential:

- Is or becomes publicly available through no breach of these Terms;
- Was lawfully known to you before it was disclosed;
- Is lawfully received from another source without a confidentiality obligation; or
- Must be disclosed by law or legal process.
10.2 Company Confidentiality Commitments
We will treat participant information and information shared inside sessions as confidential and will not sell or rent client personal information.

Our collection, use, retention, and handling of personal information are also governed by our Privacy Policy.
10.3 Separate Mutual NDA
A participant may request a separate mutual non-disclosure agreement. We may enter into a mutual NDA with a participant when appropriate and when both parties agree to its terms.
A separate NDA controls over these confidentiality provisions to the extent of any direct conflict.
11. Recording and Use of Sessions
11.1 Participant Recording Prohibited
Participants may not record, screenshot, photograph, transcribe, download, reproduce, redistribute, or publish any session, training, live Q&A, group discussion, lesson, recording, chat, workbook, or other program material without our prior written permission.
11.2 Company Recording (Advance Notice; Opt-Out)
With advance notice, Blueprint to Sovereignty may record trainings, sessions, and live Q&As for reuse as internal training material, quality assurance, accessibility, replay, or program purposes.
A participant may opt out of being recorded by notifying us before the applicable session. We will use reasonable measures to honor the opt-out, such as excluding the participant from the recording, asking the participant to keep their camera off, or limiting the recording to the facilitator and materials.
In a live group setting, we cannot guarantee that other participants will not independently record or repeat information. Participants remain responsible for following the confidentiality and recording rules in these Terms.

14. Testimonials and Results
We may request permission to use a participant's testimonial, name, title, photograph, video, audio, or description of experience.

- A platform or recording will function without interruption;
- The services will meet your specific needs;
- The services will produce a particular result; or
- Any information is a substitute for professional advice.
Nothing in these Terms excludes warranties, rights, or remedies that cannot legally be excluded.
19. Limitation of Liability
To the fullest extent permitted by law, Spirito, LLC DBA Blueprint to Sovereignty and its owners, officers, employees, facilitators, coaches, contractors, agents, service providers, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost opportunities, lost data, business interruption, emotional distress, or similar losses arising from or related to:

This limitation does not apply to liability that cannot legally be limited or excluded, including liability for fraud, willful misconduct, or any other matter that applicable law requires to remain available.
20. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Spirito, LLC DBA Blueprint to Sovereignty and its owners, officers, employees, facilitators, coaches, contractors, agents, service providers, and representatives from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to:

- Your violation of another person's rights;
- Your unauthorized recording, copying, sharing, or distribution of materials;

21. Dispute Resolution
21.1 Good-Faith Negotiation
Before starting mediation or arbitration, the parties agree to attempt in good faith to resolve a dispute informally.
A party must send written notice describing the dispute and requested resolution to:
Spirito, LLC DBA Blueprint to Sovereignty
Email: info@blueprint-to-sovereignty.com
Mailing address: Spirito, LLC DBA Blueprint to Sovereignty, 28602 Canyon Rd, Valley Center, CA 92082
The parties will have at least 30 days after receipt of the notice to attempt informal resolution, unless an urgent deadline or applicable law requires a different process.
21.2 Mediation
If the dispute is not resolved through good-faith negotiation, the parties will attempt to resolve it through mediation before proceeding to arbitration.
Mediation will take place in San Diego County, California, unless the parties agree to conduct it remotely or in another location. The parties will mutually select a qualified mediator.
Each party will bear its own attorneys' fees and costs. The parties will share the mediator's fee equally unless the mediator, applicable law, or the mediation provider's consumer rules require a different allocation.
21.3 Mutual Binding Arbitration
If mediation does not resolve the dispute, the dispute will be resolved by **mutual, binding arbitration in California** before one neutral arbitrator.
This arbitration provision applies equally to you and Spirito, LLC DBA Blueprint to Sovereignty. It applies only to disputes arising out of or relating to the use, payment for, or provision of the website or services covered by these Terms, to the extent permitted by applicable law.
The arbitration will take place in San Diego County, California, unless the parties agree to remote arbitration or another location. The parties will mutually select a reputable arbitration provider and arbitrator. If the parties cannot agree, a court with appropriate jurisdiction may appoint the arbitrator.
The arbitration will be conducted under applicable California law and the provider's applicable consumer rules. The arbitrator must be neutral and independent and must provide each party a fair opportunity to present evidence and argument.
Each party will bear its own attorneys' fees and costs unless applicable law, the arbitration rules, or a written agreement provides otherwise. Arbitration fees will be allocated in accordance with applicable California law and applicable consumer-arbitration rules. We will not require a consumer to pay fees or costs that California law prohibits the consumer from being required to pay.
21.3.1 International Participants; Nonwaivable Rights
If you reside outside the United States, you may have mandatory statutory consumer cancellation, withdrawal, or refund rights under your home jurisdiction that cannot be waived by contract. Nothing in these Terms (including the no-refund provisions) is intended to waive any such **nonwaivable** rights. Where those **nonwaivable** rights apply, they will apply only to the minimum extent required by law.
21.4 Rights Preserved
Nothing in this section:
- Prevents either party from bringing an eligible individual claim in small claims court;
- Prevents either party from seeking temporary or preliminary relief from a court when necessary to preserve rights or prevent immediate harm;
- Waives rights or remedies that cannot legally be waived;
- Prevents a participant from reporting a matter to a government agency;
- Limits a participant's right to pursue a claim under applicable consumer-protection law; or
- Requires arbitration of a dispute that applicable law excludes from arbitration.
Any court proceeding permitted under this section must be brought in a court located in San Diego County, California, unless applicable law requires otherwise.
21.5 California Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Subject to the dispute-resolution provisions above and any nonwaivable legal rights, the parties consent to personal jurisdiction and venue in the state or federal courts located in San Diego County, California.
22. California Consumer Notice
California residents may have rights under California consumer-protection laws that cannot be waived by contract. Nothing in these Terms is intended to waive or limit those rights.

We will use reasonable efforts to communicate material changes and provide a reasonable rescheduling, replacement, credit, or refund when required by the applicable enrollment terms or law.
24. Assignment
You may not assign, transfer, delegate, or sublicense your rights or obligations under these Terms without our prior written consent.
We may assign or transfer these Terms in connection with a merger, reorganization, sale of assets, change in ownership, or transfer of the business, provided that the transfer does not materially reduce your rights under these Terms.
25. Waiver
A failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision later.
A waiver must be in writing and applies only to the specific instance for which it is given.
26. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be modified or limited to the minimum extent necessary to make it enforceable. The remaining provisions will continue in effect.
27. Entire Agreement
These Terms, together with the Privacy Policy, applicable enrollment materials, invoices, payment terms, and any separate written agreement, constitute the entire agreement between you and Spirito, LLC DBA Blueprint to Sovereignty regarding the applicable website or service.
If a separate written agreement applies to a specific service, that agreement controls over these Terms to the extent of a direct conflict.
28. Changes to These Terms
We may update these Terms from time to time. Updates will be posted on this page with a revised "Last updated" date.
For material changes to terms governing an existing paid service, we will provide notice when required by law or the applicable agreement.
